Event

Client wishes to engage DJ to provide Disc Jockey services (“Services”). Disc Jockey services shall include providing musical entertainment by means of a recorded music format at the location, date, and time described. DJ may also perform related additional services, as mutually agreed upon and acknowledged.

In the event the Event goes beyond the time stated above by more than 15 minutes, Client shall pay the DJ a rate of $75 per hour for each hour the Event goes beyond the time stated above. Partial hours shall not be prorated.

Duties of Client

The DJ requires that the Client provide electrical and space requirements in accordance with the DJ’s requests. All requests made by the Disc Jockey shall be reasonable and made before the event.

Termination

The Parties shall have the right to terminate this Agreement in accordance with the following terms and conditions:

a.) The Client may terminate this Agreement at any time prior to the event by providing at least 7 day(s) notice. Upon termination, Client shall be entitled to a refund of any monies paid less the Non-Refundable Deposit.

b.) The DJ may terminate this Agreement at any time prior to the event by providing at least 7 day(s) notice. If the DJ terminates, the DJ shall refund all monies previously paid by Client, including the Non-Refundable Deposit.

Disputes

In the event of a dispute arising out of this Contract that cannot be resolved by mutual agreement, the Parties agree to engage in mediation. If the matter cannot be resolved through mediation, and legal action ensues, the successful party will be entitled to their legal costs including, but not limited to, its attorneys’ fees.

Severability

In the event any provision of this Agreement is deemed invalid or unenforceable, in whole or in part, that part shall be severed from the remainder of the Agreement and all other provisions should continue in full force and effect as valid and enforceable.

Binding Arrangement

This Agreement is legal and binding between the Parties as stated above. This Agreement may be entered into and is legal and binding in the United States. The Parties each represent that they have the authority to enter into this Agreement.

Governing Law

The Parties agree that this Agreement shall be governed by the laws located in the State of Ohio.

Warranty

The DJ shall provide its services and meet its obligations under this Contract in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in the DJ’s industry and will provide a standard of care equal to care used by service providers similar to the DJ on similar projects.

Limitation of Liability

Under no circumstances shall either party be liable to the other party or any third party for indirect, incidental, consequential, special or exemplary damages (even if that Party has been advised of the possibility of such damages), arising from any provision of this agreement such as, but not limited to, loss of revenue or anticipated profit or lost business, cost of delay or failure of delivery, or liabilities to third parties arising from any source.

Entire Agreement

The Parties acknowledge and agree that this Agreement represents the entire agreement between the Parties. In the event that the Parties desire to change, add, or otherwise modify any terms, they shall do so in writing to be signed by both parties.
